As Penti Giyim Ticaret Anonim Şirketi (“Penti”), this Electronic Commercial Message Rules and Notification Text has been prepared in order to inform you about sending you commercial electronic messages and processing, storing and transferring your personal data according to Electronic Communications Law No. 5809, Law No. 6563 on the Regulation of Electronic Commerce, Law No. 6698 on the Protection of Personal Data (“PPD”) and related legislations.

Within this scope, if you give your permission to have your contact information, such as phone and e-mail, that you have shared, processed to be used in marketing communications in accordance with Article 6 of the Law No. 6563 on the Regulation of Electronic Commerce, on the basis of the approval condition and the legal reasons for the express consent in accordance with the first paragraph of Article 5 of PPD regarding the communications within the scope of marketing activities, planning and execution of marketing processes, conducting marketing analysis studies, services, promotions, announcements, events, advertisements, promotions, for the purposes of sending commercial electronic messages such as mobile applications, social media accounts, SMS, e-mail, etc.

You can withdraw your express consent at any time, if you withdraw your consent for electronic commercial messages, it will be deemed that you have withdrawn your express consent.

Your personal data will be used directly by Penti or via the data processors and will also be shared with business partners and suppliers of Penti in line with the realization of the specified purposes. Your personal data will be processed by service providers whose servers are located abroad, for the purpose of carrying out storage and archiving activities, in order to be limited with these purposes and based on your express consent, and they will be transferred abroad through the servers located abroad

Membership Agreement Permission

PENTİ MEMBERSHIP, CONFIDENTIALITY AGREEMENT AND TERMS OF USE OF THE WEBSITE

1.Parties and Subject of the Agreement:

Mecidiyeköy Yolu Cad. This Membership Agreement is executed by and between Penti Giyim Ticaret Anonim Şirketi (Penti) residing at Kuştepe Mah. Trump Tower No:12/488 Şişli İstanbul and the user ('User') that is the member of www.penti.com in order to set out the terms and condition of membership and requirements for benefiting from membership. After completing the registration procedures on the Website and confirming its e-mail address, the Member may start using the Website by entering its e-mail address and password provided that it complies with the terms and conditions specified in this Agreement. The Member agrees that it shall be deemed to have accepted all the terms and conditions of the Agreement from the moment it starts to benefit from the services and these terms shall be binding upon it. Penti reserves the right to modify the terms and conditions set out in this agreement, as required by the legislation or this Agreement, in its sole discretion, or by sending an e-mail to the Member.

2. Rights and Obligations of the Parties:

2.1 The Member declares, undertakes and accepts that the personal and other information it provides while subscribing to the www.penti.com website is legally accurate and up-to-date, that it will immediately notify Penti in writing of the changes in personal data and other information through the www.penti.com website or the Penti call center, and that Penti will immediately cover all damages incurred by Penti due to the untruthfulness of this information. If the member gives false information, it accepts that the agreement can be terminated unilaterally by Penti without the need for any notification and warning.

2.2 The member cannot share the password given to it by Penti with other persons or organizations and the right of the member to use the password in question shall rest with it in person. The e-mail address provided during registration is specific to the member and has the opportunity to create a single membership. For this reason, Penti reserves the right to all kinds of compensation and other claims arising from such unauthorized use against all claims and demands that may be made against Penti by third parties or competent authorities.

2.3 The Member agrees and undertakes in advance to comply with the legal legislation and not to violate them while using the website www.penti.com. Otherwise, all legal and penal obligations shall be fully and exclusively binding on the member.

2.4 Penti reserves the right to alter the content of the website at any time, to alter or terminate any service provided to users, or to store and delete user information and data registered on the Penti website.

2.5 The Member may not use the website www.penti.com in any way that disrupts public order, is against general morality, disturbs and harasses others, for an unlawful purpose, violates the intellectual and copyright rights of others. In addition, the member may not engage in any activities (spam, virus, Trojan horse, etc.) or actions that prevent or complicate others from using the services.

2.6 The Member agrees and undertakes that it shall not copy, reproduce and market the information, documents, software, design, graphics, text, visuals, videos etc. and any content on www.penti.com and all rights of which belong to Penti. They may not be used, acquired or altered by the member without permission.

2.7 Penti shall not be responsible for the reading of the member data by unauthorized persons and for any damages that may occur to the member software and data. The Member in advance accepts not to claim any compensation from Penti for any damage it may suffer due to the use of the website www.penti.com.

2.8 The Member agrees not to access or use the software and data of other internet users without permission. Otherwise, legal and penal responsibilities arising from this issue shall be exclusively borne by the member.

2.9 The member who breaches one or more of the articles listed in this membership agreement shall be personally and criminally responsible for this violation and shall keep Penti free from the legal and penal consequences of these violations. In addition, Penti reserves the right to claim compensation for non-compliance with the membership agreement against the member in case of transfer of the incident to the legal area due to this violation.

2.10 The person who is a member of www.penti.com declares and accepts that it allows product and service promotions, advertisements, campaigns, advantages, surveys and other customer satisfaction applications to be offered to him/her by all companies serving under the brand of Penti and Penti if he/she grants electronic commercial message permission within the scope of the applications in force and/or to be put into effect and that marketing analysis studies are carried out within this scope. The Member declares and accepts that it allows the personal and shopping information and shopping and/or consumer behavior information that he/she has given while signing up to www.penti.com and/or by other means in the past and/or in the future to be used and archived by all companies that provide services under the Penti and Penti brand, to be shared with all companies that provide services under the Penti and Penti brand, to carry out marketing analysis studies and to provide a better service to them in this context. Unless the member notifies otherwise, it declares and accepts that he/she allows the collection of data within the scope of electronic commercial message permission, sharing of data with all companies serving under the Penti and Penti brand, and use and archiving of data by all companies serving under the Penti and Penti brand when his/her membership ends. If the member wants to change his/her communication permission preferences, he/she can submit this request to Penti customer service call centers or change the 'My Profile' section after logging in to the penti.com website.

2.11 In accordance with this membership agreement, Penti shall be entitled to send information e-mails to its members' registered e-mail addresses, changes, use and maintenance regarding the goods or services provided, information update, purchase and delivery or similar situations and to send information SMS to mobile phones, and the member shall be deemed to have accepted the sending of information e-mails to its e-mail address and information SMS to mobile phone upon the approval of this membership agreement.

2.12 Penti may use its personal information such as the shopping preferences of the members in studies aimed at the special preferences and interests of its users in order to provide better service to its users, to improve its products and services, to facilitate the use of the site, to plan activities for customer satisfaction and/or experience, and to make personalized marketing (segmentation, profiling, etc.). Penti reserves the right to maintain a record of the member's actions on the website www.penti.com.

2.13 Measures have been taken within the existing possibilities to ensure that the website of Penti is free of viruses and similar malware. In addition, in order to ensure final security, the user must supply its own virus protection system and provide the necessary protection. In this context, upon entering the Penti website, the member is deemed to have accepted that he/she is responsible for all errors that may occur in its software and operating systems and their direct or indirect consequences.

2.14 Penti always has the right to unilaterally delete the membership of the member when necessary and to delete the files, documents and information of the customer. The member accepts this disposition in advance. In this case, Penti shall be under no liability.

2.15 Sales of www.penti.com are limited to stocks. www.penti.com may not deliver products that do not have stock, cancel the order and return the order amount to the customer's account. The display of the products in the virtual store does not necessarily mean that the products in question are in the stocks of www.penti.com or Penti stores. The authority to change the price and product feature information of the products offered for sale on www.penti.com belongs exclusively to www.penti.com. If there is an error in the price and product specification information, www.penti.com may correct the error by correcting the product delivery or cancel the order and return the order amount to the customer account, provided that it has the exclusive selection authority.

2.16 Penti may make changes in the implementation of this agreement in order to comply with future technical necessities and legislation, as well as change its existing articles or add new articles. www.penti.com may transform the services that do not require membership into a situation that requires membership, open additional services, change some of its services partially or completely or turn them into paid services over time.

3. Settlement of Disputes:

3.1 In disputes that may arise from this agreement, the Member agrees and undertakes that Penti's book records and microfilm, microfiches and computer records shall constitute valid, binding, final and exclusive evidence in the meaning of Articles 193 et seq. of Code of Civil Procedure and this article is in nature of evidence agreement. It agrees, warrants and undertakes in advance that it waives its right to offer an oath regarding any objection to the Penti records and that they are kept in accordance with the procedure.

3.2 In case of disputes that may arise in relation to this agreement, the applicable Turkish legal legislation shall apply.

3.3 İstanbul Central Courts and Executive Directorates shall be competent in settlement of all kinds of disputes likely to arise from implementation of this agreement.

4. Effectiveness and Termination of the Agreement:

Membership registration of the member means that the member has read all the articles contained in the membership agreement and has accepted the articles contained in the membership agreement. This Agreement has been executed and mutually entered into force upon the member becoming a member. This agreement shall remain in force until the member cancels its membership or Penti cancels its membership.

Confidentiality Agreement

In order to provide better service to its customers, Penti requests some of your personal information (name, age, interests, e-mail, etc.).

These information collected on Penti servers are only used by Penti in seasonal campaign operations, building of special promotion activities for customer profiles and customer “classification” operations for not transmitting undesired e-mails.

Penti does not use and sell the information collected from membership forms for any commercial purposes outside its business without the knowledge or instruction of the said member.

Besides the personal information requested in the e-mail addresses and membership forms, Penti analyzes and interprets the visitors' actions and choices which are monitored during the use of the site.

These statistical data, which do not contain personal information, can be shared with Penti business partners in order to provide a more special and effective shopping experience to Penti customers.

The member information can be disclosed to public authorities only if duly required by public authorities and according to compulsory legislation provisions in cases where a disclosure to public authorities is mandatory. Hybris servers are located abroad, which is the cloud services infrastructure used by Penti in carrying out its business activities. If you create a Penti Star Card membership record, your personal data is recorded in our programs and/or systems provided/made available to us by our infrastructure suppliers in the field of technology whose servers are located abroad for the purpose of carrying out storage and archive activities. In this context, your personal data will be processed by service providers whose servers are abroad on behalf of Penti, taking the necessary technical and administrative measures, based on your explicit consent, and will be automatically transferred abroad for the above-mentioned purposes and will not be shared with third parties other than those listed.

Pursuant to the Communiqué on the Principles and Procedures of Application to the Data Controller, the Relevant Person must have name, surname, signature, TR ID number if the application is in writing, (passport number if the applicant is a foreigner), residential or business address for notification, electronic mail address for notification, telephone number and fax number and information regarding the subject of request.

The Data Subject should clearly and understandably state the issue requested in the application including the explanations regarding the right that he/she will make and request to use in order to exercise the above-mentioned rights. Information and documents related to the application must be attached to the application.

Although the subject of the request must be related to the person of the applicant, if acting on behalf of someone else, the applicant must be specifically authorized in this regard and this authority must be documented (power of attorney). In addition, the application must contain the identity and address information and the documents confirming the identity must be attached to the application.

The requests made by unauthorized third parties on behalf of someone else shall not be taken into consideration.

WELCOME TO PENTİ STAR CARD'S WORLD OF STARS

Dear Customer,

Meet the privileges of Penti Star Card! You will earn points for your purchases from Penti with Penti Star Card and you will encounter many opportunities and advantages. You must approve the Membership Agreement below for membership.

PENTİ STAR CARD MEMBERSHIP CONTRACT

ARTICLE 1 - SUBJECT

This Agreement is a customer satisfaction-oriented loyalty program for the members of the Penti Star Card Loyalty Program ('Program') belonging to Penti Giyim Ticaret Anonim Şirketi ('Penti') with the purpose of providing advantages such as general and special campaigns, promotions, promotions, points earning and spending, gift vouchers, membership to clubs and discounts to be applied by all stores and website belonging to Penti.

This Membership Agreement ('Agreement') shall be individually referred as 'Party' and collectively as 'Parties'.

ARTICLE 2- PROGRAM CONDITIONS

2.1. This membership agreement is a general framework agreement and the terms and conditions of the programs such as campaign, advertisement, promotion etc. within the membership agreement period shall be determined by Penti and notified to the Member in that period.

Only natural persons over the age of 18 may join the program.

2.2. During the first registration, the Member shall approve the membership agreement by complying with the instructions in the SMS sent to the Penti staff at the time of shopping in the store. After the Member approves the membership agreement in this way, the Penti Star Card is deemed to have accepted the General Conditions of this membership agreement and the campaign conditions determined by Penti in advance. In the event that Star Card membership is realized through Penti's website; Penti Star Card membership agreement will be accepted by the Member upon the approval of the button indicating that the membership agreement has been accepted by the Member. The card will only be used by the bearer in Penti stores across Turkey and within the scope of campaigns.

2.3. In line with the information and guidance sent by SMS sent to the Penti store employee's own phone number verbally, the Member may allow all kinds of campaigns, advantages, product and service promotions, advertising, market research, surveys and other customer satisfaction applications to be offered by Penti, limited to the application period and conditions to be determined unilaterally by Penti on the basis of the campaign within the framework of the applications to be carried out within the scope of the Program.

2.4. Penti is free to determine the stores where the Program is valid, the duration and terms of the campaign. Penti Star Card benefits may differ in each Penti Store. Penti is free to determine, modify and/or cancel the advantages that will apply in different Penti Stores and/or on the website with the extension www.penti.com in different ways.

2.5. 1-TL points are earned for every 100-TL purchase made with Penti Star Card. A score of 1-TL will be calculated for each 100-TL purchase over the invoice amount of the member. Penti is entitled to determine the additional annual discount periods as it wishes.

The member will have completed the membership activation after entering the Star Card membership information fully and approving the membership agreement. Upon proper completion of the activation, Penti shall provide the Member with the campaign terms and conditions in accordance with the campaign terms and conditions existing during the period in which the campaign is valid. The start and end times and application conditions of all campaigns defined by Penti are different for each campaign, and if the usage period of a particular campaign is not defined with a shorter period, the usage period will expire on the last day of December, which is the end of the calendar year in which the advantages such as points collected within the scope of campaigns are used. However, Penti reserves the right to make changes to the relevant campaign conditions unilaterally in the terms and duration of this campaign.

2.6. Points earned with Penti Star Card can be used in the purchases after the purchase made by the members who fulfill the point spending rules, provided that they have not expired. The usage time of the points may vary according to the campaigns. Penti has the right to reset the earned points at any time. Any extra rights granted to the card in return of purchases shall be cancelled. However, if there is no special period determined by Penti, the period of use of all points shall expire at 24:00 on the last day of December, which corresponds to the end of the calendar year in which the points are earned.

2.7. Penti may cancel (without notice or notice) the cards that have not been processed (shopping and/or points have not been used) for six months without interruption and may delete the points of these cards. Penti may delete unused points within 1 year from the last transaction date of the card. The cardholder already agrees to this.

2.8. During the Penti Star Card application, due to the changes in the legislation in force, if the continuation of the loyalty card application is not possible, the cards in the hands of the users will automatically become null and void.

2.9. The cards and memberships of the members who make fraud using Penti Star Card are unilaterally canceled by Penti. In such a case, no claim shall be made from Penti in relation to the cancelled membership.

2.10. Within the scope of the program, Penti can organize campaigns by cooperating with third party companies. In such a case, the personal data that must be processed in order for the Member to benefit from the campaign may be transferred subject to the provisions of the Personal Data Protection Law with the third party companies in which the Member cooperates. Detailed information on processing and transferring personal data is described in the Star Card Clarification Text.

2.11. The data controller Penti carries out the data processing activities within the scope of the membership in accordance with the Personal Data Protection Law No. 6698 for the methods and purposes specified in the Star Card Disclosure Text. The Member may apply to Penti with the application methods included in the Star Card Clarification Text published on the penti.com website in order to receive detailed information about its personal data being processed and to direct its rights and requests within the scope of the Personal Data Protection Law.

2.12. Penti uses the Hybris program, whose servers are located abroad, to carry out the membership procedures. Hybris servers are located abroad, which is the cloud services infrastructure used by Penti in carrying out its business activities. If you are a Star Card member, your personal data will be processed by data processors whose servers are abroad on behalf of Penti. Penti will be able to transfer your personal data mentioned above through service providers and infrastructure suppliers in the field of technology whose servers are located abroad; for the purpose of carrying out membership transactions, providing services on the website penti.com and/or mobile application, carrying out storage and archive activities and automatically.

2.13. Upon the request of the competent authorities in accordance with the applicable legislation, Penti may share the information of the Member with the said authorities by informing the Member in advance if necessary in accordance with the Personal Data Protection Law no. 6698 and subject to the data transfer rules in all cases.

2.14. If the Member is obliged to share the personal data and information received from the Members during the membership and/or shopping on the website with the competent authorities or public institutions and organizations, the Member shall not hold Penti responsible. Penti declares that it will process the personal data of the Member who is a party to the Agreement for the purpose of the performance and establishment of this Agreement within the framework of its primary and secondary obligations arising from the Law No. 6698, that it will ensure the data security in order to prevent the processing, access and disclosure of the personal data obtained by the Member in contradiction with the law, and that sufficient technical and administrative measures have been taken in this context. Penti shall also destroy the data whose retention period has expired by observing the periods stipulated in other laws. By approving this Agreement, the Member agrees, warrants and undertakes that it has been informed by Penti in accordance with the Law No. 6698 on the processing of personal data.

2.15. The Member agrees and warrants that the information he/she discloses with this form and will disclose later is accurate and up-to-date, that he/she will update them immediately if there is a change in them, and that he/she will not hold Penti responsible if the information in question is incorrect.

2.16. The Member agrees and warrants that it shall act in accordance with the provisions of this Membership Agreement, campaign terms and periods, all conditions specified on the website, applicable legislation and moral rules in the transactions and correspondence it performs on the website. The legal and penal responsibility for the transactions and actions of the Member within the website shall be borne by the Member.

2.17. It is the responsibility of the member to keep the card given under the program. It is obliged to inform Penti immediately in the event of theft, loss of the card and similar cases. The member is responsible for any damages that may arise until the notification is made.

2.18. It may be the only record of a member. If it is determined that the program has more than one membership with the same membership information, these records are combined on behalf of the relevant member.

2.19. The Member agrees not to give the card and number and user name and/or password given to him/her for using the program and/or the information he/she has created to benefit from this program to others, and accepts that he/she is responsible for keeping them. If it is determined that they are abused by the Member or someone else, that the programs are abused, that any of the information declared in the form is not correct/incomplete, all kinds of rights and gains related to the membership can be withdrawn, membership can be terminated or other measures can be applied, and in this context, the existing personal data can be anonymized by Penti. The Member agrees that it shall bear all responsibility for any disputes that may arise in these matters and shall lose all rights over it.

2.20. The card given within the scope of the program cannot be used as a credit card or for commercial purposes, and payment cannot be made with this card. Points or other rights on the card can't be cashed in or redeemed for cash.

2.21. The lifetime of the points earned under the program is limited to a calendar year and/or the campaign period and conditions, and the points earned but not used in that year are deleted as of December 31, 24.00 each year. Penti is free to delete the points whose usage period and campaign conditions have expired without any notice.

2.22. In case of return of the purchase, the rights gained by that purchase shall be immediately revoked. In the return of purchases made with points, the return is made only as a point or by another method to be determined by Penti.

2.23. The parties may terminate this Agreement and terminate the membership provided that they notify it in writing at least 10 (ten) days in advance through the call center or website. Members who terminate their membership are required to use their Penti Star Card points until the membership expiration date at the latest; otherwise, their Penti Star Card points will be deleted by Penti on the membership expiration date. This article also applies if the Penti Star Card application is cancelled, stopped or suspended by Penti. The Member agrees, declares and undertakes that the cancellation of the Penti Star Card membership shall not mean the deletion of his/her personal data kept as a legal obligation in the Penti records due to the fact that he/she has shopped in the Penti stores and/or the commercial electronic message approval sent to Penti shall not mean that it shall be automatically removed.

ARTICLE 3- AMENDMENTS TO THE CONTRACT

Penti may, at its sole discretion, unilaterally amend this Membership Agreement and all kinds of policies, terms and conditions on its website, including the Cookie Policy and the Clarification Text, at any time it deems appropriate, provided that it does not violate the provisions of the applicable legislation. Changing provisions of this Membership Agreement shall become effective on the date of their announcement on the website and the remaining provisions shall be in force and enforceable. For the avoidance of doubt, this Membership Agreement may not be unilaterally amended by the Member.

If the member wishes to cancel his/her membership that he/she has accepted with this agreement, he/she will contact the call center and submit his/her request. Penti shall inform itself within the legal time frame by fulfilling the request of the Member.

ARTICLE 4- MISCELLANEOUS

3.1. Evidence Contract – In disputes that may arise from this Membership Contract, Penti's official books and commercial records and e-archive records, electronic information, electronic correspondence and computer records kept in Penti's database and servers shall constitute binding, final and exclusive evidence and this article is in nature of evidence contract in the meaning of Article 193 of Code of Civil Procedure no. 6100.

3.2. Applicable Law and Dispute Resolution – This Membership Agreement shall be exclusively subject to the laws of the Republic of Turkey. Any dispute arising out of or in connection with this Membership Agreement shall be the exclusive jurisdiction of Istanbul Central (Çağlayan) Courts and Execution Offices.

3.3. Notification – Penti shall communicate with the Member via the e-mail address notified by the Member when registering or by calling the phone number and sending an SMS. The Member is obliged to keep its e-mail address and telephone number up to date.

3.4. Commercial Electronic Messages – The Member shall be deemed to have accepted the SMS, e-mail and calls to be sent by Penti if he/she allows the commercial electronic messages offered by Penti. The member knows that he/she can manage these permissions from the Message Management System (MMS), the methods specified in commercial electronic messages or from the 'My Account' page.

3.5. Integrity and Severability of Membership Agreement – This Membership Agreement constitutes the entire agreement between the Parties regarding the subject matter. If any provision of this Membership Agreement is found by any court of competent jurisdiction, arbitral tribunal or administrative authority to be invalid or unenforceable or unreasonable in whole or in part, to the extent of such invalidity, unenforceability or unreasonability, this Membership Agreement shall be deemed severable and the other provisions shall remain in full force and effect.

3.6. Transfer of Membership Agreement – The Member will not be able to assign all or part of its rights or obligations under this Membership Agreement without the prior written consent of Penti.

3.7. Modification and Waiver – The failure of one of the Parties to exercise or perform any right granted to itself in the Membership Agreement shall not be interpreted in a way that it has waived the said right or it shall not preclude further exercise or execution of the said right.

3.8. Force Majeure – Events beyond the control of the parties such as human and natural disasters, epidemics, quarantines, quarantines, wars, mobilizations, fires, strikes, lockouts, etc. that did not exist and could not be foreseen at the date of signing of this Agreement and that partially or completely, temporarily or permanently cease the performance of this Agreement by the parties or by a single party, and the statements of the official authorities in the country and/or globally to which the parties are subject to, shall be considered force majeure. The party exposed to force majeure shall immediately notify the other party in writing and the acts of the parties shall be suspended during the period of force majeure. When the force majeure disappears, the contract shall be resumed. The obligations of the party whose rights are not fulfilled during the period of force majeure shall also be suspended. In case force majeure lasts more than 30 (thirty) days, the party whose rights are violated may terminate this contract without compensation. Penti is authorized to delete the points earned and not used within the scope of the program as of December 31, 24.00, even in case of force majeure.

ARTICLE 5 – ENFORCEMENT

This Agreement shall enter into force upon the approval of this Membership Agreement electronically by the Member.
